Terms of Service

Acceptance

These Terms are between you (“you”, “customer”) and Octet Logic OPC Private Limited (“Wap2b”, “we”), the operator of the Wap2b platform at wap2b.com. By signing up for an account or using the service, you agree to these Terms. If you don't agree, don't use the service.

The service

Wap2b provides a hosted interface to Meta's WhatsApp Business Cloud API on a prepaid account-balance model. Each message you send is charged against your account balance at the published per-message rate. There are no monthly subscription fees, no per-seat charges, and no minimum spend beyond the per-currency Add Funds minimums.

The service includes: WhatsApp number onboarding via Meta Embedded Signup, message templates with approval workflow, broadcasts to segmented contact groups, contact management with opt-in / opt-out tracking, and optional AI agents for inbound message handling.

Account balance & billing

The account-balance model has a small number of rules. They are all enforced by the platform itself, not by trust.

  • Prepaid. Funds are paid in advance and applied per message sent. The per-message rate depends on the recipient's country (set by Meta's conversation pricing) and the message category — utility, authentication, marketing, or AI reply. Pricing is shown in your billing currency before checkout.
  • 12-month validity, reset on activity. Prepaid account balances are valid for 12 months from the date of your last transaction (Add Funds or message/AI usage). If no transaction occurs within 12 months, any remaining balance will expire. You will receive reminders at 30 days and 7 days before expiry. Adding funds or using any platform feature resets the 12-month validity period.
  • Failures before reaching Meta are free. Insufficient balance, profile not onboarded, template not found, validation errors, or missing pricing — none of these cost you anything. The send never reaches Meta, so we never incur a cost.
  • Meta-rejected sends incur a small fee. When a send reaches Meta's API but Meta returns an error (recipient not on WhatsApp, template paused mid-send, account quality issues, rate limit), a platform fee of ₹0.05 (auto-converted to your billing currency) is deducted. This covers network cost and Meta's possible partial-charge on attempted conversations. Full mechanics: Refunds Policy §4.
  • Refund-safe queues. If a queued job (broadcast, AI reply) was debited before sending and then fails downstream, our reconciler automatically issues a refund. Refunds are idempotent — the same job will never be refunded twice, enforced by a database-level unique constraint.
  • Rate changes. Per-message rates are tied to Meta's underlying conversation pricing, which changes periodically. We give 30 days' notice by email and dashboard banner before any rate change takes effect. Balances already on your account are not retroactively repriced.
  • FX rates. Your billing currency is locked at signup. The FX rate at the time you add funds determines how many local-currency units you pay; subsequent FX moves do not adjust your balance.
  • Minimum Add Funds amounts. Each currency has a standard minimum and a lower first-time minimum so that payment-gateway fees stay reasonable. Exact thresholds are shown on the Add Funds screen.

Acceptable use

You agree not to use the service to:

  • Send messages to recipients who have not opted in, or to recipients who have opted out.
  • Send spam, phishing, scams, malware, or otherwise illegal content.
  • Violate Meta's WhatsApp Business Policy or Commerce Policy.
  • Reverse engineer the service or attempt to bypass quality / messaging limits enforced by Meta or by us.
  • Resell access to the service without a written agreement with us.
  • Impersonate another business, person, or entity.

We may suspend or terminate accounts that violate these policies. Severity drives notice: spam or impersonation is terminated immediately and without notice. Technical or policy mistakes get a chance to remediate. Where termination is for cause, any remaining account balance is forfeited and is not refundable.

Your content

You retain all rights to the templates, messages, and contact data you upload. You grant us a limited, non-exclusive license to process and transmit that content as necessary to provide the service (deliver messages, fulfill webhooks, run AI replies you configured). We do not use your message content to train AI models that benefit other customers. We do not sell your content.

Relationship with Meta / WhatsApp

Wap2b is an independent service. WhatsApp is a trademark of WhatsApp LLC and Meta Platforms. Message delivery, template approval, account quality ratings, and messaging-limit tiers are controlled by Meta and not by us. We do not warrant delivery; we route your messages through Meta's WhatsApp Business Cloud API as quickly as Meta accepts them.

Warranty disclaimer

The service is provided “as is” without warranties of any kind. We don't guarantee uninterrupted availability or message delivery. Meta's WhatsApp infrastructure ultimately controls delivery and may change, throttle, or reject messages without notice.

Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to your use of the service is limited to the total amount you paid us in the 12 months preceding the claim. Neither party is liable for indirect, consequential, incidental, or punitive damages.

Termination

You can stop using the service and close your account at any time by emailing support@octetlogictech.com. We may terminate accounts for material breach of these Terms or for extended inactivity (no signin and no Add Funds for 24+ months). On account closure or termination, any unused balance expires per the rules in the Refunds Policy; statutory refund rights are preserved where applicable.

Changes to these Terms

We may update these Terms from time to time. Material changes are announced via email and a dashboard banner at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
